1. Models & Pricing

1.1. Fees, rates and pricing applicable to your access to and use of Cursor Services are published on the Cursor Models & Pricing page unless you have a separate pricing agreement with Anysphere.

1.2. If you continue to use Cursor Services after the expiry or termination of your pricing agreement, the Fees on the Models & Pricing page will apply.

2. Cursor Fees and Rates

Fees for Cursor's Services may include subscription fees, platform fees, usage fees and other fees applicable to the particular Service. This section sets out how we measure, calculate or otherwise treat the various fees.

2.1. Precommitted Usage is the minimum amount of usage fees specified in your Order Form that you commit to pay during your Service Term.

2.2. On-demand Usage applies for usage that exceeds the Precommitted Usage, and is calculated at the rate specified in your Order Form.

2.3. Core License Plans For Individual and Teams plans, Precommitted Usage is indicated per individual user. For Enterprise plans, Precommitted Usage is pooled across users under the same account number.

2.4. Model API Fees are calculated by multiplying the Total Tokens by the applicable Model Pricing rates. Model Pricing for each model is available at Models & Pricing and is subject to change in accordance with the Model provider's list pricing.

2.5. Cursor Token Fees are calculated by multiplying the Total Tokens by the applicable Cursor Token Rate.

2.6. Eligible Services are the following Service elements, the fees for which are eligible to be counted towards your Precommitted Usage:

  • Model API Fees
  • Cursor Token Rates
  • Bugbot Usage

2.7. Services usage for which you are not charged are not eligible to be counted towards your Precommitted Usage.

3. Pricing assumptions

3.1. Taxes All sales, use, VAT, GST, excise, or similar taxes arising from the purchase or use of the Services are your responsibility, except for taxes based on Anysphere's net income, employment, or property. If Anysphere is required to collect or remit any such taxes, Anysphere will invoice you separately for those taxes, and the standard payment terms will apply.

3.2. Marketing Rights We are excited to have you as a user of our Services and we want others to be inspired by your use. We share a list of our users on our website and other marketing materials. We appreciate your agreement to allow Anysphere to reference you as a customer of Anysphere including on our website, marketing materials and in public events. Your agreement to allow us to do so has been factored into how we have calculated our fees. If we use your marks in connection with these marketing activities, we will adhere to any marks guidelines that you make available to us. If expressly indicated in your Order Form, you will be given the opportunity to review and consent to any marketing materials. You agree to act reasonably, review and confirm consent without delay.

4. Pricing adjustments

Certain pricing models may involve calculations over a period of time, whether monthly, quarterly or other measurement period. Anysphere may offer opportunities to adjust fees based on usage or other measurements, as agreed in your Order Form; the methodology used to calculate such adjustments is described below or in your Order Form.

4.1. Subscription Services True Ups are calculated by reference to the number of Active Users who access the Service during the final 30 days of each True Up Period: if the number of Active Users during this period exceeds the original Subscription Core License seat count ("True Up Baseline"), for each additional Core License seat exceeding the True Up Baseline, Anysphere will issue you an invoice for (i) a per seat Core License Fee; and (ii) a Precommitted Usage Fee, for the remaining number of months left in your Service Term. The increased total Core License seat count (as at the end of the True Up Period) will be used as the revised True Up Baseline for the next True Up.

4.2. Reassignment of licensed seats to new users within the team or enterprise, as applicable, is permitted and will not incur additional fees, provided that the total number of Active Users within the 30-day True up Period does not exceed the Core License seat count.

5. Billing, invoices and payment terms

5.1. All Fees are billed monthly in arrears with net 30 days payment terms unless your Order Form states otherwise.

5.2. If you need a purchase order number referenced on Anysphere's invoice, you must promptly provide the purchase order document to ar@cursor.com at least five (5) business days before the end of the next billing period.

6. Renewals

6.1. If you and Anysphere have agreed to auto-renew your Order Form, subscription based Fees will renew for the period indicated in your Order Form at the end of the applicable Service Term.

6.2. Either party can opt-out of automatic renewal by providing written notice to the other party at least 30 days before expiration of the then-current Service Term.

7. Beta Services and Add-on Services

7.1. Pricing for Beta Services and Add-Ons are set out at the Cursor Settings page or indicated in the Add-On Service unless you have agreed otherwise in your Order Form.

7.2. Your account administrators are granted the authority to establish hard limits or caps on usage for the organization so that you can directly monitor and control cost limits.

8. Updates and Modifications

We may update or modify this Pricing Policy from time to time as we introduce or adjust our Service offerings and pricing models. Please check this Pricing Policy periodically for changes. If we make any material modifications, we will notify you by updating the date at the top of these Terms and by maintaining a current version of these Terms on this page. All modifications will be effective when they are posted, and your continued accessing or use of the Service will serve as confirmation of your acceptance of those modifications. If you do not agree to the modified Terms, then you must discontinue your use of the Service.

9. Definitions

"Active User" means a user acting under Customer's account who accesses the Service at least once during the True up Period.

"Order Form" means a document under which you purchase the Services. An Order Form is not necessary to access and use the Services.

"True Up Period" means the successive periods, at the frequency indicated in your Order Form, starting from the Service Term start date or immediately after the end of the last True Up Period.

"Total Tokens" means the aggregate number of tokens processed across all input, output, and cache (read and write) tasks.
